Tough leadership to restore viability and value.
When cash runs out and losses mount, time is working against you. Whether you’re an entrepreneur fighting for your company’s survival, or a private equity Partner watching the value of a portfolio company deteriorate, business-as-usual is no longer an option.
You need action, not advice.
EPUNTO’s Interim CRO (Chief Restructuring Officer) service deploys a high-impact executive. Their mission is twofold: for the company, to avert bankruptcy and stabilise cash flow; for the fund, to take control of the portfolio company, halt the deterioration of the investment and execute the emergency plan that the current management team is unable or unwilling to implement.
How does a CRO differ from a Chief Financial Officer (CFO)?
The CFO manages during more stable periods, whilst the CRO takes the lead in turbulent times. The CRO is a crisis management specialist with a much more aggressive operational assignment. Whilst the CFO reports on the situation, the CRO has executive powers to halt payments, close loss-making business lines or sell assets immediately in order to save the company or the investment.
Why is this the solution for a private equity firm with a portfolio company in difficulty?
Because it provides eyes and hands on the ground. When a portfolio company strays dangerously from the business plan, you cannot manage it from the boardroom. Our CRO embeds themselves within the company, replaces ineffective management if necessary, and implements tough decisions to protect your investment thesis and avoid a write-off.
How can you regain credibility with banks and creditors?
Having a professional CRO from EPUNTO on board changes the conversation. Banks and creditors know that ‘we mean business’. The CRO speaks their language and presents realistic viability plans, not ones based on wishful thinking. They are the key figure in securing refinancing, standstill agreements or capital injections.
How do you deal with conflict with the management team or the current owners?
With surgical objectivity. The CRO has no emotional ties to the company’s history nor any political aspirations. This enables it to take unpopular decisions (redundancies, closures, changes at the top) that the family owners or the founding team often do not dare to implement, acting as a reputational firewall.
Do you get involved in legal proceedings such as pre-insolvency proceedings?
This is his natural territory. He is an expert in navigating the Insolvency Act and protecting directors’ liability. He leads the legal and operational strategy during the pre-insolvency phase or insolvency proceedings, always seeking to maximise the recovery value or facilitate the sale of the business unit in order to save the core business.
